2、dentity,itssubsidiaries,affi1iatesandassigns(co11ective1y,theC1ient).本咨询费保护协议(这个“协议”)，是由XX投资全球有限责任公司(以下简称“顾问”)和XX电力公司(统称“客户”)双方在202X年的一天签署。XX投资全球有限责任公司位于XX,XX电力公司是一家中国国有实体。WHEREAS,theC1ientdesirestoengagetheConsu1tantandtheConsu1tantdesirestoacceptengagementbytheC1ientforthepurposeofintroducingtheC1

8、individuassubsidiariesaffi1iatesorassigns)thattheConsu1tantintroducestotheC1ientduringthetermofthisAgreement.ForthepurposesofthisAgreement,a“Transaction“isdefinedasanytransactionthatresu1tsintheexchangeofcash,inventory,stock,goods,orservices,inexchangeforthede1iveryoftheC1ient,sproducts,servicesorot

9、herconsideration.ThetermsofthisSection2sha11surviveanyexpirationofthisAgreement.2.佣金作为补偿的服务,客户将支付顾问的佣金等于总报酬的六个百分点(6%)或者是所收到与上述交易或业务有关的客户或股东、董事或官员(“委员会”)客户端和任何单位或者个人,政府(或实体或个人的分支机构,政府成员或指定的顾问)向客户介绍在本协议期限内的收入。为了更好的理解这个协议，“交易”的定义是:任何的用现金、库存、股票、商品或服务以换取交付客户的产品、服务及其他。本合约条款第2部分将在本协议期满后终止。3. 10、iSSioi1TheCommissionsha11bepaidtotheConsu1tantimmediate1yuponthere1easeofthefirstpaymenttotheC1ientfromtheXXnGovernment,itssubsidiaries,affi1iatesorassigns,withrespecttoanyTransaction.A11paymentsmadetotheConsu1tanthereundersha11bewiredtotheaccountsetforthinthisAgreement.Thedetai1sofsuchaccountsha11b

11、edesignatedbytheConsu1tant.Suchdesignationsha11beapprovedbyperattachedAppendix.Thepaymentswi11bemadewithoutprotest,de1ay,ordeductions(otherthannorma1bankwirefees).3.佣金支付。佣金应于从XX政府包括它的子公司或受让人首次付款给客户时向顾问支付咨询费。所有付款应通过本协议下方约定的账户。账户信息应由顾问指定。这种指定,应附经同意的附件。款项就不会产生拒付,延缓或扣除额(除了正常的电汇费)。4. 12、ntagreestoimmediate1yprovidetotheConsu1tantacopyofanycontractre1atedtoaTransactionhereunder.CommencingupontheexecutionofthisAgreementandinperpetuitythereafter,theConsu1tant,itsaccountantsorauditorsmay,uponthirty(30)dayspriornotice,duringreasonab1ebusinesshours,conductanauditofthebooksandrecordsofthe

13、C1ientre1atingtotheTransactionsandtheCommissionsduetobepaidtotheC1ienthereunder(an“Audit).IfanAuditrevea1sthatthereisanydiscrepancyintheConsu1tant,sfavorbetweentheamountactua11ypaidbytheC1ientandtheamountowedtotheConsu1tanthereunder(aDiscrepancy),theC1ientsha11,withinthirty(30)days,remitpaymenttothe

14、Consu1tantinthefu11amountofsuchDiscrepancyp1ustenpercent(10%)ofthesame,inadditiontothecostoftheAudit.4.客户同意立即提供给顾问一份有关以下交易的合同复印件。自本协议执行起,顾问的会计或审计人员可以通过三十(30)天预先通知,在合理的营业时间，进行审计与交易有关的记录同时佣金据此支付。如果审计显示支付给顾问的费用与客户实际缴付的不符,客户应在三十(30)天内按照差额加10%的额度付款，除了审核的费用。5. Taxes;1atePaymeiit.TheC1ientsha11paya11sa1es,

15、use,exciseandothertaxeswhichmaybe1evieduponeitherpartyinconnectionwiththisAgreement,exceptfortaxesbasedontheConsu1tant,snetincome.A1atechargeof1-1/2%permonthmaybeapp1iedtoeachoftheC1ient,sinvoicesandexpensestatementsnotpaidbytheapp1icab1eduedate,andtheC1ientsha11reimbursetheConsu1tantfora11reasonab1
