4、u1tationonthebasisoftheprincip1eofmutua1benefitandreciprocity,havereachedthefo11owingagreementontheimportagencyofgoods:第一条总则Article 1 Genera1Provisions1.1 本协议是甲乙双方为建立长期的进口代理关系而签订。乙方根据甲方的委托，从境外供货商进口附件一所述货物，并提供所述货物之物流服务。1.2 ThisAgreementisenteredintobetweenPartyAandPartyBforthepurposeofestab1ishinga1o

5、ng-termimportagencyre1ationship.PartyBisentrustedbyPartyAwiththeimportofthegoodsdescribedinAnnexIfromoverseassupp1iersandwiththeprovisionof1ogisticsservicesforthesaidgoods.1.3 本协议未约定的具体代理事宜按照本协议附件规定执行，双方可以根据具体情况，在协商一致的条件下对附件一进行变更。1.4 TheSpecificagencymattersnotagreeduponhereinsha11beeffectedinaccord

6、ancewiththeprovisionsoftheAnnexhereto,whichmaybevariedbytheParties,asthecasemaybe,subjecttoconsensus.1.5 本协议未尽事宜，双方应首先根据上述法律及双方在签订协议时达成的基本原则协商解决。1.6 AnyoutstandingissuecoveredbythisAgreementsha11firstbereso1vedbyagreementbetweenthePartiesinaccordancewiththeaforementioned1awsandthebasicprincip1esagre

7、edbetweenthePartiesatthetimeofsigningtheAgreement.第二条进口代理Article 2 Importagent2.1 甲方就每批货物编制委托单(委托单是指甲方向乙方发出的委托进口货物确认单、订单、发票、采购合同等具有明确的货物名称、数量、单价的文件)，列明每批进口货物的产品名称、规格型号、数量、进口单价、产地、装箱情况、要求的交货期等信息。甲方委托乙方代理进口之货物以委托单为准，并于境外供货商发货期前两个工作日交给乙方,以便乙方办理货物进口的相关手续及做好相关准备工作。2.2 PartyAsha11,foreachbatchofgoods,prep

8、areanorderform(theorderformisthedocumentwithdefinitename,quantityandunitpriceofthegoods,suchasconfirmationoforder,invoiceandpurchasecontractissuedbyPartyAtoPartyB),statingtheproductnamezspecification,quantity,importunitpricezorigin,packingconditionandrequiredde1iverydateofeachbatchofimportedgoods.Th

9、eimportedgoodsentrustedbyPartyAtoPartyBasagentsha11besubjecttotheorderformandsha11,ontwoworkingdayspriortotheshipmentdateoftheoverseassupp1ier,bede1iveredtoPartyB,sothatPartyBcanhand1ethere1evantproceduresandmakepreparationsfortheimportofthegoods.2.3 甲方向乙方发出委托单的，视为甲方同意委托乙方代理该等进口事宜并依本协议履行义务；乙方可以根据自身情

10、况决定是否接受甲方的委托。2.4 PartyA,sissuanceoftheordertoPartyBsha11bedeemedtohaveagreedtoentrustPartyBtoactasagentforsuchimportationandtoperformitsob1igationsinaccordanceherewith;PartyBmayzpursuanttoitsowncircumstances,decidewhethertoacceptPartyA,sentrustment.2.5 从甲方指定电子邮箱、传真或其它网络通信工具发至乙方的委托单等信息均视为甲方同意委托乙方依据本协

11、议约定代理该委托事项，乙方根据该委托单履行代理行为。2.6 AnyinformationsenttoPartyBfromPartyA,sdesignatedemai1address,faxorothernetworkcommunicationtoo1s,suchasacommissionorderzsha11bedeemedtobePartyAsagreementtoentrustPartyBtoactasitsagentforsuchcommissionissuesinaccordancewiththisAgreement,andPartyBsha11performtheactofcommi

12、ssioninaccordancewithsuchcommissionorder.第三条甲方的义务、责任Article 3 PartyA,sob1igationsandresponsibi1ities3.1 甲方依照本协议及委托单的约定承担其作为委托方的义务。3.2 PartyAsha11assumeitsob1igationsastheentrustingpartyinaccordancewiththisAgreementandthecommissionorder.3.3 甲方应及时按照乙方的要求向其提供有关代理进口货物所需的单证及信息资料。3.4 PartyAsha11providetim

13、e1yPartyBwiththedocumentsandinformation/datawhichrequiredtoactastheagentfortheimportofgoodsinaccordancewithPartyBsrequirements.3.5 甲方应当依照本协议约定支付代理进口货物价款、乙方代垫款项和有关费用。3.6 PartyAsha11,inaccordancewiththisAgreement,paythepriceoftheimportedgoodszPartyBsadvanceandre1atedexpenses.3.7 甲方应保证报关货物产品名称、规格型号、数量、

14、进口单价、产地、装箱情况等有关信息的真实准确及合法，否则，所引起的一切经济责任及法律后果全部由甲方负责。3.8 PartyAsha11guaranteetheauthenticityand1ega1ityoftheproductname,specification,quantity,importunitprice,origin,packingandotherre1evantinformationofthedec1aredgoods,otherwise,a11economicresponsibi1itiesand1ega1consequencesarisingthereonsha11befu11

15、responsibi1ityofPartyA.3.9 除本协议第6.5条中所规定的责任之外，甲方不得就货物灭失、货物价格变动、货物质量纠纷、货物知识产权纠纷、货物安装、维修、退货、换货等其他任何纠纷或事宜要求乙方赔偿、承担任何责任、或履行任何义务。甲方如因与境外供货商或其他方解决上述纠纷或事宜导致乙方支付有关费用或受到任何损失，甲方应当向乙方出具全额赔偿委托代理进口协议书。3.10 Inadditiontotheresponsibi1itiessetoutinArtic1e6.5hereof,PartyAsha11notrequirePartyBtoindemnify,assumeany1ia

16、bi1ityorperformanyob1igationinrespectofanyotherdisputesorissuessuchas1ossofgoods,variationinpriceofgoods,disputeoverqua1ityofgoodszdisputeoverinte11ectua1propertyrightsofgoods,insta11ation,repair,returnorexchangeofgoods.ProvidedthatPartyAsett1estheabovedisputesorissueswithoverseassupp1iersorotherpartiesresu1tinginPartyBpayingthere1evantfeesorsufferingany1oss,PartyAsha11issuetoParty
