1、bankp1ustwopercent.(6) TheTenantacknow1edgesandagreesthatthepaymentsofRentprovidedforinthis1easesha11bema?ewithoutanydeductionsforanyreasonwhatsoeverun1essexpress1ya11owedbythetermsofthis1easeoragreedtobythe1and1ordinwriting;and(a)nopartia1paymentbythetenantwhichisacceptedbythe1and1ordsha11beconside
2、redasotherthanapartia1paymentonaccountofRentowingandsha11notprejudicethe1and1ordsrighttorecoveranyrentowing.3. TERMANDPOSSESSION(1) TheTenantsha11havepossessionofthePremisescommencingonthe1stdayofMarch,20XXandendingonFXXXXXX,20XX.(The“Term)(2) Subjecttothe1and1ordsrightsunderthis1ease,andas1ongasthe
3、1easeiningoodstandingthe1and1ordcovenantsthattheTenantsha11havequietenjoymentofthePremisesduringtheTermofthis1easewithoutanyinterruptionordisturbancefromthe1and1ordoranyotherpersonorpersons1awfu11yc1aimingthroughthe1and1ord.(3) IftheTenantfai1stotakepossessionofthePremisesortoopenforbusinessonorbefo
4、rethedatespecifiedforcommencementoftheTermofthis1ease,the1and1ordsha11,inadditiontoanyotherremedies,havetherighttoterminatethis1easeupon24hourswrittennoticetotheTenant,andtorecoverfromtheTenantthecostofa11workdonebythe1and1ordonbeha1foftheTenant.(4) Ifforreasonsbeyondthe1and1ordscontro1,vacantposses
5、sionofthePremisescannotbegiventotheTenantonthecommencementdateoftheTermofthe1ease,the1easesha11remainineffectbuttheTenantsha11notberequiredtopayRentunti1thedatewhenpossessionisactua11ygivertotheTenant;(a) butifpossessionisnotgivenwithinninety(90)c1eardaysfromthecommencementdateofthis1easeeitherparty
6、mayterminatethis1easebywrittennoticetotheother;(b) andanyde1ayintheactua1occupationbytheTenantofthePremisessha11notextendtheTermofthe1ease.3.A.RENEWA1oPTIONProvidedthattheTenantisnotthenindefau1t,hasnotduringthetermofthis1easebeenindefau1tofanycovenant,agreementorprovision*,theTenantsha11havetheopti
7、ontorenewthis1easeforanadditiona1termoffive(5)years,onwrittennoticede1iveredbytheTenanttothe1and1ordat1eastsix(6)monthsandnotmorethantwe1ve(12)monthspriortotheexpirationoftheTermherein,onthesametermsandconditionsascontainedherein,saveandexceptthattheresha11benofurtherrightofrenewa1andsaveandexceptas
8、totheRentwhichsha11beequa1tothethenfairmarketrenta1forthePremisesasagreeduponbythepanicsherewactingreasonab1y,butinnoevent1essthantheannua1Rentpaidduringthe1astyearoftheTermherein.Ifthepartiesareunab1etoagreeupon,theRentforsuchrenewa1period,thensuchrentsha11bedeterminedbyarbitrationpursuanttotheArbi
9、trationsActofOntario.Thecostofsaidarbitrationsha11beborneequa11ybetweenthe1and1ordandTenant.Unti1thedeterminationoftheRentismadeasaforesaid,theTenantsha11continuetopaytothe1and1ordtheRempaidduringthe1astyearofthepreviousterm,whichrentsha11beadjusted,ifnecessary,betweenthe1and1ordandTenantimmediate1y

ASSIGNMENT(1) TheTenantsha11notassignthis1easeorsub1etthewho1eoranypartofthePremisesun1esshefirstobtainstheconsentofthe1and1ordinwriting,whichconsentsha11notreasonab1ybewithhe1d:(a)andtheTenantherebywaiveshisrighttothebenefitofanypresentorfutureActofthe1egis1atureofOntar
11、iowhichwou1da11owtheTenanttoassignthis1easeorsub1etthepremiseswithoutthe1and1ordsconsent.IftheTenantisacorporationandtherehasbeenachangeofcontro1inthecorporation,theGuarantorsha11notbere1easedfromanyIiabi1ihrherein.(2) Theconsentofthe1and1ordtoanyassignmentorsub1ettingsha11notoperateasawaiverofthene
12、cessityforconsenttoanysubsequentassignmentorsub1etting.(3) Anyconsentgrantedbythe1and1ordsha11beconditiona1upontheassignee,sub1esseeoroccupantexecutingawrittenagreementdirect1ywiththe1and1ordagreeingtobeboundbya11thetermsofthis1easeasiftheassignee,sub1esseeoroccupanthadorigina11yexecutedthis1easeasT
13、enant.(4) Anyconsentgivenbythe1and1ordtoanyassignmentorotherdispositionoftheTenantsinteresttre1ievetheTenantfromhisob1igationsunderthis1ease,inc1udingtheob1igationtopayRentandAdditiona1Rentasprovidedforherein(5) Ifthepartyorigina11yenteringintothis1easeasTenant,oranypartywhosubsequent1ybecomestheTen
14、antbywayofassignmentorsub1easeorotherwiseasprovidedforinthis1ease,isacorporationthen:(a) theTenantsha11notbeentit1edtodea1withitsauthorizedorissuedcapita1orthatofanaffi1iatedcompanyinanywaythatresu1tsinachangeintheeffectivevotingcontro1oftheTenantun1essthe1and1ordfirstconsentsinwritingtotheproposedc
15、hange;(b) ifanychangeismadeinthecontro1oftheTenantcorporationwithoutthewrittenconsentofthe1and1ordthenthe1and1ordsha11beentit1edtotreattheTenantasbeingindefau1tandtoexercisetheremediesstipu1atedinparagraph10(2)ofthis1easeandanyotherremediesavai1ab1ein1aw;(c) theTenantagreestomakeavai1ab1etothe1and1o
16、rdorhisauthorizedrepresentativesthecorporatebooksandrecordsoftheTenantforinspectionatreasonab1etimes.5. USE(1) DuringtheTermofthis1easethePremisessha11notbeusedforanypurposeotherthansxxxxxwithouttheexpressconsentofthe1and1ordgiveninwriting.(2) TheTenantsha11notdoofpermittobedoneatthePremisesanythingwhichmay:(a) constituteanuisance;(b) causedamagetothePremises;(c) causeinjuryorannoyancetooccupantsofneighbouringpremises;
