1、英文合同的常见杂项条款合同条款除了各种一般条款外，往往在最后还有一个杂项条款(Misce11aneous),也称为其他条款，把一些较为简单的条款汇合在一起。常见的有语言(1anguage)、效力瑕疵(SeVerabi1ity)、标题效力(HeadingS/Captions)、通知(NotiCe)、弃权(WaiVer/Disc1aimer)等。1anguage语言条款或文本条款A11notices,demands,requests,statementsorothercommunicationstobemadeorgivenbytheBorrowerhereundersha11beintheEng

5、andcontrarytozorinconf1ictwith,anyexistingorfuture1aworregu1ationofacourtoragencyhavingva1idjurisdiction,suchdeterminationsha11notimpairtheoperationoraffecttheremainingportions,sections,parts,termszorprovisionsofthisagreement,andthe1atterwi11continuetobegivenfu11forceandeffectandbindthepartiestothis

6、agreement.Theinva1idsection,part,termzorprovisionsha11bedeemednottobeapartofthisagreement.本协议每章、节、条、款应被认为是可分离的。如出于某种原因，本协议任一章、节、条、款被认定为无效或或与有管辖权法院或机构的现行或将来的法律法规发生矛盾或冲突，则该裁决不得损害或影响本协议其余部分、章、节、条、款的适用，且后系强续完全有效对本协议双方均有约束力。无效的章、节、条、款应视为不再是本协议的一部分。NOTICE通知条款A11noticesrequiredorpermittedbythisagreementsha

7、11beinwritingandsha11bedeemedsufficientwheresentbycertifiedmai1tothereceivingpartyattheaddresssetforthaboveoratsuchotheraddressasthatpartymayhavedesignatedinwriting.本协议所要求或允许的通知应为书面方式且应视为按上文规定的地址或其他该方书面指定的其他地址以保证邮件充分送达到收件方。NoWaiver不得放弃权利和义务条款Nowaiverofanyterm,provisionorconditionofthisAgreement,thebreachordefau1tthereof,sha11bedeemedtobeeitheracontinuingwaiverorawaiverofasubsequentbreachordefau1tofanysuchtermzprovisionorconditionofthisAgreement.合同任一方对他方违背或不履行本协议约定的情形，表示放弃法律追究权利的，该弃权不得被解释为继续性的权利放弃，对于他方将来可能再有的违约行为，仍有依法追究的权利。
