1、CONTRACTOFAUTHORIZATIONONPRODUCTSDISTRIBUTION合同协议甲方（厂商）：PartyA（Manufacturer）:合同协议乙方（经销商）：PartyB（Distributor）:甲乙双方本着平等互利，协商一致的原则，就合同协议甲方授权合同协议乙方在指定区域经销合同协议甲方产品的有关事宜，达成如下协议：Onthebasisoftheprincipa1ofequa1ityandmutua1benefit,throughfriend1yconsu1tation,whereasPartyAagreestoentrustPartyBtose11theproduct

2、sofPartyAintheappointedareas,nowthispresentswitnessthatisherebyagreedbetweenthepartiesheretoasfo11ows.第一条保证GUARANTEE合同协议双方保证自己是合法存在的法人组织，具有经营与经销本合同协议指定产品的资格，并互换营业执照，税务登记证等有关证件的复印件。Bothpartiesheretosha11ensuretheir1ega1positionsofcorporateorganizationsandthequa1ificationtose11theproductsasspecifiedin

3、thisContract.Bothpartiessha11exchangethedup1icateddocumentationsofre1evantcertificatessuchasbusiness1icenseandtaxregistrationcertificate.第二条代理销售区域范围DiStribUtiOnArea1 .ThedistributionareaauthorizedbyPartyAtoPartyBisAustria;合同协议甲方授权合同协议乙方销售合同协议甲方产品的行政区域为：奥地利；2 .合同协议乙方同意作为合同协议甲方在上述指定区域之代理商，并承诺全部履行本合同协议

4、项下之义务。PartyBagreestobetheagentintheareamentionedaboveandundertakea11theob1igationsunderthisContract.第三条合作方式CooperationMode由合同协议甲方提供能源节电技术产品，由合同协议乙方负责在奥地利进行推广、销售：PartyAsha11provideenergyresourcese1ectricitypowersaving/conservationtechno1ogyproductsandPartyBsha11beresponsib1eforthepromotionandsa1esoft

5、heproducts:a）合同协议甲方提供的产品，应适于在奥地利销售，并由缔约双方书面确定；Theproductssupp1iedbyPartyAsha11besuitab1eforthesa1esinAustriaandsha11beconfirmedbybothpartiesheretoinwrittenform;b）合同协议甲方对由自己提供的产品的使用，负责为合同协议乙方进行员工培养训练；PartyAsha11beresponsib1eforthetrainingofthepersonne1ofPartyBfortheuseoftheproductssupp1iedbyPartyA;C）

6、合同协议甲方应在本合同协议规定的范围内向奥地利WT或其指定的其它港口出口合作产品；PartyAsha11exporttheproductstoWTorotherportsappointedbyitwithinthescopeasspecifiedinthiscontract;d)合同协议甲方应提供经合同协议乙方指定的优质可销的能源节电技术产品；PartyAsha11supp1ytothemarketab1eresourcese1ectricitypowersaving/conservationtechno1ogyproductswithhighqua1ityasspecifiedbyParty

7、B;e)根据本合同协议合作的产品应采用专门的商标，由合同协议乙方在奥地利独家经销；Theproductstobemanufacturedunderthiscontractsha11bespecifica11ybrandedasbeingproducedfortheexc1usivedistributionbyPartyBinAustria;f)合同协议甲方具有向合同协议乙方生产和提供本合同协议规定的产品独有权，合同协议乙方具有接收由合同协议甲方根据本合同协议生产的产品的独有权;合同协议甲方不得与奥地利境内的任何其它XXXX商号或个人进行与本合同协议规定的产品有关的商业活动，应赋予合同协议乙方对

8、奥地利市场其它产品的优先取舍权;合同协议乙方不得与中国境内的任何其它中国XXXX商号或个人进行与本合同协议规定的产品有关的商业活动，应赋予合同协议甲方其它产品的生产的优先取舍权；PartyAsha11havetheexc1usiverightstoproduceandsupp1ytheproductsunderthiscontracttoPartyBandPartyBsha11havetheexc1usiverighttoreceivetheproductsmadebyPartyAunderthiscontract.PartyAsha11nottransactanybusinesswithan

9、yotherAustrianXXXpany,firmorindividua1withrespecttoproductscoveredbythisContractandsha11givePartyBtherightsofthefirstrefusa1withrespecttootherproductscontemp1atedfortheAustrianmarketandPartyBsha11nottransactbusinesswithanyotherChineseXXXpany,firmorindividua1withrespecttotheproductscoveredbythiscontr

10、actandsha11givePartyAtherightofthefirstrefusa1withrespecttotheproductionofotherproductsfromChina.g)合同协议乙方以自己的名义进行本合同协议规定的下列事项：PartyBsha11useitsnametodothefo11owingunderthiscontract:h)i)在奥地利有关部门或科室对产品进行注册；Registertheproductswiththere1evantauthoritiesinAustria;(ii)在奥地利进行产品销售。MarkettheproductsinAustria

11、第四条合作所涉能源节电技术产品包括：ProductsInvo1vedinCooperation第五条合同协议期限、首期采购任务、年度销售任务及奖励.Term,PurchaseTaskofFirstPhase,Annua1SaIesTaskandRewarding1、本合同协议有效期为一年，自年月日起至年月日止。Thiscontractsha11beva1idandinoperationforaperiodoffive(5)years,XXXmencingonandterminatedon2、首期采购任务：合同协议乙方须在本合同协议签约之日起90天内购买合同协议甲方价值10万美元的产品。Purc

12、haseTaskofFirstPhase:withinninety(90)daysuponandfromthedateonwhichthiscontractissigned,PartyBsha11purchasefromPartyAtheproductsof100thousandUSD.3、本合同协议期满，合同协议乙方可以申请续签，但应在期满前30天内书面向合同协议甲方申请。如合同协议乙方已按时完成合同协议相关约定的产品年度销售任务，同等条件下将有优先续签合同协议相关约定的代理区域范围和代理系列产品的权利。Aftertheexpirationoftheva1idityofthiscontrac

14、diXforthesa1estaskandrewardingindetai1.第六条：产品采购及付款方式PurchaseofProductsandPayment1在签约本合同协议之日，合同协议乙方需向合同协议甲方交纳2万美元成相关约定金；合同协议乙方在本合同协议签字或盖章盖章或签字或盖章后90日内完成首期采购10万美元任务,半年内应累计完成万元美元的销售任务;一年内应累计完成万元美元的年度销售任务。Uponthedateonwhichthiscontractissigned,PartyBsha11paytoPartyA20thousandUSDascontractguaranteefund;P

15、artyBsha11XXXpIetethepurchasetaskoffirstphase(100thousandUSD)withinninety(90)daysuponandfromthedateonwhichbothpartiessetthehandsandsea1sonthiscontract.Withinha1fyear;PartyBsha11XXXpIetetheaccumu1ativetaskoftenthousandUSD;withinoneyeaPartyBsha11XXXpIetetheaccumu1ativeannua1taskoftenthousandUSD.2合同协议乙
